NON EXCLUSIVE RIGHTS All end user's agree that they are eligible to enter into such an agreement. By purchasing a Platinum Membership at Hiphoptraxx.com, you automatically become bound to the terms of this License Agreement. All Instrumentals downloaded from HipHopTraxx.com are licensed to you by HipHopTraxx.Com, NOT SOLD. When you download an Instrumental or Compilation CD from HipHopTraxx.Com, you are granted a non-exclusive license/right to use our products in synchronization or mechanical reproduction with other audiovisual elements added by you the end user with unlimited use in musical demos and mix tapes ONLY. HipHopTraxx.Com is the exclusive copyright holder and licensor of all Instrumentals unless otherwise explicitly mentioned or documented. When you purchase an Instrumental or Compilation CD from HipHopTraxx.Com, you are granted an exclusive license/right to use our products in synchronization or mechanical reproduction with other audiovisual elements added by you the end user for unlimited use in any and all business and non-business applications. Instrumentals may not be duplicated, distributed, altered, or changed in any way for resale or for profit. Failure to obtain the necessary license for exclusive use of our products, will result in breach of such agreement and subject to all applicable laws held under the the U.S. Copyright Laws.

EXCLUSIVE RIGHTS If you need to use any of our copyrighted material in movies, commercials, advertisements, website audio/visual applications, or any other application not covered under the non exclusive license simply purchase an Exclusive Rights License. An Exclusive Rights License ranges in price from $5-$1,000. Use of an Exclusive License will entitle the end user to unlimited use of our products in both business and non business applications without restrictions. When you purchase an Exclusive Rights License, you may use the material however you deem in the best interest of you or your company. Examples include use in Advertisements, Commercials, All Audio/Visual Projects, Video Games, Motion Pictures, Radio, Satellite Transmissions, Commercially released Records, Web Applications, or for profit of any kind. Blue Diamond Marketing is under no obligation or contract to receive any compensation from you the license holder unless subsequent contracts or agreements reflect such outcomes or events. All Exclusive Rights purchases include a Transfer of Rights Contract, an Mp3 converter, the Mp3 track itself plus each individual track of the composition. Samples that may be embedded in the track will be removed upon at the end users request. Older Instrumentals maybe have non-removeable samples.

UPLOADING MUSIC

1. Before you can upload any music to HipHopTraxx.Com, you agree that you are the sole owner of ALL material submitted. Furthermore you agree that no one else has any rights to the music you upload but you. If you are not the sole owner of all material submitted, you must get permission from the label, original copyright holder, or organization who does own the material.

2. All music uploaded must be free of copyrighted samples with minor exclusions which may include samples, voice overs, and other audio sample files.

All sales are final meaning that no refunds will be given unless stated otherwise. However, every attempt will be made to reasonably accommodate all HipHopTraxx.Com customers in the event of a damaged track, broken download, or insufficient means for the end user to accept items paid for. Such remedies include but are not limited to the following: resending the purchased products via email or U.S. Mail, substitution of paid product with a similar one, or replacement of paid product with a similar one. Some products offered are by 3rd party affiliates. Every attempt has been made to verify the authenticity of products and services offered but Blue Diamond Marketing, LLC will not be liable for the quality of their products, customer support, or price.

What you will receive as a Platinum Member? As a Platinum Member of Hiphoptraxx.com, you will have access to download hundreds of beats. From time to time we may also upload additional samples, loops, sounds, and vst instruments/effects of our choice. Platinum Members may become Platinum Plus Members at any time. When you sign up to become a Platinum Member of Hiphoptraxx.com, you agree to a contractual agreement to remain a member for a length of time equal to the particular membership you paid for. You can cancel at anytime but will not be reimbursed or given an pro rated refund on months not used. You will be notified 30 day's prior to your renewal deadline. If renewal payment is not made, your account will be closed and deleted. We refer the right to refuse, suspend, or delete any account at anytime without warning.
